1. Agreement

These terms govern your use of the Quorum Capital website and of the treasury process described on it. By using the site, submitting a project, signing in or voting, you accept them. If you do not accept them, do not use the site.

2. Eligibility

You must be at least eighteen and legally able to enter a contract. You must not use the site if you are resident in, or a national of, a jurisdiction subject to comprehensive sanctions, or if you appear on any applicable sanctions list. You are responsible for checking that your use of the site is lawful where you live.

3. Nothing here is an offer, and nothing here is advice

Nothing on this site is an offer to sell or a solicitation to buy any token, security or investment, and nothing on it is investment, legal, tax or financial advice. We are not a bank, a broker, an exchange, a custodian or a registered investment adviser, and we do not act as your agent or fiduciary.

The $QRM token is not a share. It carries no ownership of Quorum Capital, no claim on the treasury or its assets, no right to any dividend or distribution, no repayment right and no guaranteed value. Holding it does not make you a partner, member or creditor.

4. Your account

Authentication is provided by Privy. You are responsible for keeping control of your email account and your wallet, and for everything done through your account. Connecting a wallet never moves funds and nothing is transferred unless you sign a transaction yourself. We can suspend or close an account that breaks these terms.

5. Submissions are public

Every project request is published the moment you submit it, except your email address. By submitting, you confirm that what you send is accurate, that it is yours to send, and that publishing it breaks no law or third-party right. You grant us a worldwide, royalty-free, perpetual licence to host, publish and display your submission on the site; you keep ownership of it.

You must not submit anything unlawful, fraudulent, defamatory or misleading, anyone else's confidential information, or material that infringes someone's rights. We may remove any submission, at any time, for any reason.

6. Funding is discretionary

A submission is not an application for investment and creates no entitlement to anything. Funding decisions are made by board vote and are entirely discretionary. Approval is not a contract to pay: disbursements are made in tranches against milestones, and may be reduced, delayed or stopped where milestones are missed, where information proves false, or where the treasury lacks funds.

Approval is not an endorsement. We do not audit funded projects, we do not guarantee their conduct or their outcome, and we are not responsible for what they do with the capital.

7. The board and voting

Board seats are determined by token balance at a snapshot, as described on the governance page. Seats are not property and are not transferable except by holding the tokens that produce them. We may change the seat count, the snapshot method, the quorum or the voting rules where that is needed to keep the process workable or lawful, and will publish any such change.

8. Distributions

Distributions to holders, including any share of tokens the treasury receives from a launch, are discretionary. They are not a dividend, not income, not a return on investment, and not promised. Amounts, timing and eligibility depend on the rules published at the time and on what the treasury actually receives, which may be nothing. Tokens distributed may be illiquid or worthless. You are solely responsible for any tax arising on anything you receive.

9. Chain risk

The site depends on Robinhood Chain, on smart contracts and on third-party infrastructure. Transactions are irreversible. Smart contracts can contain bugs. Networks can halt, fork, congest or be attacked. Wallets and keys can be lost or stolen, and a lost key cannot be recovered by us or by anyone. Token prices are volatile and you may lose everything you put in. You accept these risks.

10. Acceptable use

You must not attempt to gain unauthorised access to the site, interfere with its operation, scrape it in a way that degrades it, manipulate votes or rankings, impersonate anyone, or use the site to launder money or to break any law.

11. No warranty

The site is provided as is and as available, without warranty of any kind to the fullest extent the law allows. We do not warrant that it will be uninterrupted, accurate, or free of error, and we do not warrant that indexed chain data, balances or rankings are complete or correct at any given moment.

12. Liability

To the fullest extent permitted by law, we are not liable for lost profits, lost tokens, lost opportunity, loss of data, or any indirect or consequential loss arising from your use of the site, from any funding decision, from any distribution, or from any funded project. Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

13. Beware of impersonation

We will never ask you for your seed phrase or private key, and we will never ask you to send funds to claim a distribution. Verify contract addresses against the treasury page before you transact. Anyone contacting you otherwise is not us.

14. Changes and termination

We may change these terms, and we may change, suspend or discontinue any part of the site. Changes take effect when posted here, and the date at the top of this page will be updated. Continuing to use the site after a change means you accept it.

15. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law in your country of residence gives you the right to bring proceedings elsewhere.
